Welcome to Villa Showroom. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and services (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Platform. We may update these Terms from time to time, and your continued use of the Platform after such updates constitutes your acceptance of the revised Terms.
You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
These Terms constitute a legally binding agreement between you and Villa Showroom, Inc. ("Villa Showroom," "we," "us," or "our"). Please read them carefully before using our services.
Account Creation: To access certain features of the Platform, you must create an account. When creating an account, you agree to provide accurate, current, and complete information and to update this information to keep it accurate and complete.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
Account Verification: We may require you to verify your identity, phone number, email address, or other information. You agree to provide any additional verification information we request.
One Account Per Person: Each user may only maintain one account. Creating multiple accounts may result in the suspension or termination of all your accounts.
Account Sharing: You may not share your account credentials with others or allow others to use your account. You are responsible for all activities conducted through your account.
Business Accounts: If you create an account for a business, you represent that you have the authority to bind that business to these Terms and that the business agrees to be bound by these Terms.
Booking Process: When you book a property through our Platform, you are entering into a contract directly with the host. Villa Showroom acts as an intermediary to facilitate these transactions but is not a party to the agreement between you and the host.
Booking Confirmation: A booking is confirmed only when you receive a confirmation email or notification from us. Hosts may decline or cancel bookings in accordance with their cancellation policies.
Accurate Information: You must provide accurate information when making a booking, including the number of guests and any special requirements. Providing false information may result in cancellation of your booking.
House Rules: You agree to comply with any house rules provided by the host, including rules regarding pets, smoking, noise levels, and check-in/check-out times.
Property Condition: You agree to leave the property in the same condition as you found it. You may be charged for excessive cleaning, damages, or missing items.
Guest Conduct: You agree to treat hosts, their properties, and neighbors with respect. Disruptive behavior, illegal activities, or violation of house rules may result in immediate termination of your stay and account suspension.
Listing Requirements: Hosts must provide accurate and complete information about their properties, including photos, descriptions, amenities, location, and availability. Misleading listings may be removed.
Legal Compliance: Hosts are responsible for ensuring their listings comply with all applicable laws, regulations, and permit requirements, including zoning laws, tax obligations, and safety standards.
Booking Commitments: Hosts agree to honor confirmed bookings unless cancellation is permitted under the applicable cancellation policy or there are extenuating circumstances.
Guest Communication: Hosts agree to respond to guest inquiries promptly and to provide guests with accurate information about check-in procedures, house rules, and local amenities.
Property Standards: Hosts agree to maintain their properties in a clean, safe, and habitable condition. Properties must be accurately represented in listing photos and descriptions.
Host Fees: Hosts agree to pay applicable service fees as outlined in our fee structure. Fees are deducted from payouts unless otherwise specified.
Taxes: Hosts are responsible for determining and fulfilling their tax obligations. In some jurisdictions, we may collect and remit taxes on behalf of hosts.
Payment Processing: We use third-party payment processors to handle payments. By making a payment, you agree to the terms of service of the applicable payment processor.
Guest Payments: Guests are charged at the time of booking unless otherwise specified. All prices are displayed in the currency selected by the host and may include applicable taxes and fees.
Service Fees: We charge service fees to guests and hosts for using our Platform. These fees are disclosed before you complete a booking or listing.
Host Payouts: Hosts receive payouts approximately 24 hours after the guest's scheduled check-in time, unless there is a dispute or issue with the booking.
Cancellation Refunds: Refunds for cancelled bookings are processed according to the applicable cancellation policy. Refunds are typically returned to the original payment method within 5-10 business days.
Currency Conversion: If your payment currency differs from the listing currency, you may be subject to currency conversion fees from your payment provider.
Disputed Charges: If you believe you have been incorrectly charged, please contact us within 60 days of the charge. We will investigate and resolve the issue.
Cancellation Policies: Each listing has a cancellation policy set by the host (Flexible, Moderate, Strict, or Super Strict). The applicable policy is displayed before you complete your booking.
Flexible Policy: Full refund if cancelled at least 24 hours before check-in. Service fee is refundable.
Moderate Policy: Full refund if cancelled at least 5 days before check-in. 50% refund if cancelled less than 5 days before check-in.
Strict Policy: Full refund if cancelled within 48 hours of booking and at least 14 days before check-in. 50% refund if cancelled at least 7 days before check-in.
Extenuating Circumstances: In cases of documented emergencies, natural disasters, or government travel restrictions, we may provide refunds outside of the stated cancellation policy.
Host Cancellations: If a host cancels a booking, guests receive a full refund. Hosts who cancel may face penalties including fees, calendar blocking, and account suspension.
Illegal Activities: You may not use the Platform for any illegal purpose, including but not limited to money laundering, tax evasion, or facilitating illegal transactions.
Harmful Content: You may not post or transmit content that is defamatory, obscene, threatening, harassing, discriminatory, or otherwise objectionable.
Platform Manipulation: You may not attempt to manipulate the Platform, including by creating fake reviews, artificially inflating prices, or interfering with other users' transactions.
Unauthorized Access: You may not attempt to gain unauthorized access to the Platform, other users' accounts, or our computer systems or networks.
Commercial Use: You may not use the Platform for unauthorized commercial purposes, including advertising, solicitation, or spam.
Circumvention: You may not attempt to circumvent our fee structures, booking systems, or other Platform features.
Violations: Violation of these prohibited activities may result in immediate account suspension, legal action, and reporting to law enforcement authorities.
Platform Role: Villa Showroom is a platform that facilitates connections between hosts and guests. We are not responsible for the conduct of hosts, guests, or third parties.
No Warranties: The Platform is provided "as is" and "as available." We make no warranties, express or implied, regarding the Platform's reliability, availability, or fitness for a particular purpose.
Property Conditions: We do not inspect, verify, or guarantee the condition, safety, or legality of listed properties. Hosts are solely responsible for their properties.
Third-Party Services: The Platform may contain links to third-party websites or services. We are not responsible for the content or practices of these third parties.
Maximum Liability: To the maximum extent permitted by law, our total liability for any claims arising from your use of the Platform is limited to the amount of fees you paid to us in the 12 months preceding the claim.
Exclusions: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
User Indemnification: You agree to indemnify, defend, and hold harmless Villa Showroom, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
• Your use of the Platform or violation of these Terms
• Your violation of any third party's rights, including intellectual property rights
• Your content or listings posted on the Platform
• Any dispute between you and another user
• Your violation of any applicable laws or regulations
Cooperation: You agree to cooperate with us in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.
Good Faith Resolution: We encourage users to first attempt to resolve disputes directly with each other. If you have a dispute with another user, please contact them through our messaging system.
Resolution Center: If direct resolution fails, you may submit a dispute to our Resolution Center. We will review the dispute and make a determination based on available evidence.
Arbitration Agreement: Any disputes that cannot be resolved through our Resolution Center will be settled by binding arbitration in accordance with the rules of the American Arbitration Association.
Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
Governing Law: These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.
Venue: Any legal proceedings must be brought in the state or federal courts located in San Francisco County, California.
Time Limitation: Any claim must be brought within one (1) year after the cause of action arises, or the claim is permanently barred.
Platform Ownership: The Platform, including its design, features, and content (excluding user content), is owned by Villa Showroom and protected by copyright, trademark, and other intellectual property laws.
License to Use: We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.
User Content License: By posting content on the Platform, you grant us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and display that content in connection with our services.
Trademark Usage: You may not use our trademarks, logos, or brand names without our prior written consent.
DMCA Compliance: We comply with the Digital Millennium Copyright Act. If you believe content on our Platform infringes your copyright, please submit a DMCA notice to our designated agent.
Feedback: Any feedback, suggestions, or ideas you provide about the Platform become our property, and we may use them without compensation or attribution.
User Termination: You may terminate your account at any time by contacting us or through your account settings. Termination does not cancel any existing bookings or release you from payment obligations.
Our Rights: We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, suspected fraud, or any other reason at our discretion.
Effect of Termination: Upon termination, your right to use the Platform ceases immediately. Provisions that should survive termination (such as indemnification, limitation of liability, and dispute resolution) will remain in effect.
Data Retention: After termination, we may retain certain information as required by law or for legitimate business purposes, in accordance with our Privacy Policy.
Reactivation: We may allow you to reactivate a terminated account at our discretion. Previously terminated accounts may not be allowed to create new accounts.
Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Villa Showroom.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Notices: We may send notices to the email address associated with your account. You agree that such notices satisfy any legal requirement for written notice.
Force Majeure: We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
No Agency: Nothing in these Terms creates any agency, partnership, or employment relationship between you and Villa Showroom.
